EB-5 investments qualify as securities

An appeals court affirmed an earlier judgement in favor of the SEC in a case against an immigration lawyer who sold EB-5 investments despite not being registered as a broker-dealer. Of note, the court determined that EB-5 investments qualify as securities because of their structure as investments in limited partnerships and the promise of a fixed rate of return
